Pricing Model

Pricing for Agora is based on consuming Denodo Credit Units (‘DCU’ or ‘credits’) as the customer runs the Agora platform.

A Denodo credit unit, or DCU, is a unit of processing capability per hour, billed on per-minute usage.

For instance, one (1) credit will allow a customer to run a 4-core subscription of Agora Enterprise Plus for one (1) hour. Similarly, two credits will allow the customer to run a 4-core subscription of Agora Enterprise Plus for two hours OR an 8-core subscription of Agora Enterprise Plus for just one hour.

Agora Components that Consume Denodo Credit Units

An Agora subscription might include one or more instances of the following components that are deployed in the Execution Plane (which runs under the customer cloud account):

  • VDP Server
  • Data Catalog Server
  • Scheduler Server

The unique instances that consume DCUs are the VDP Server instances.

PAYGO vs Prepaid

There are two ‘modes’ of subscription for Agora: a) PAYGO (Pay-As-You-Go), and b) prepaid.

With PAYGO subscriptions, the customer will have to define a billing account with a valid payment mechanism (e.g. a credit card). At the end of each month, the customer will be billed in arrears by the number of credits consumed by the subscription. The bill will automatically be charged to their payment mechanism for the billing account.

With a prepaid subscription, the customer will purchase and pay for a number of credits upfront. These credits are then consumed as the customer runs its Agora subscription. Contact Denodo Sales for prepaid credits pricing and volume-based discounts.

Platform Fee

Platform Fee is the fee paid by Customer based on the number of cores determined by a sizing exercise.

The DCUs have a discount schedule, based on the number of credits purchased.

Credit Expiration

The pre-purchased Agora credits expire after one (1) year.

Any unused credits will expire unless the Customer renews their subscription at the same pre-purchased credit level or greater. In this case, the unused credits will roll over to the following subscription year. If the Customer renews their subscription at a lower commitment level, the unused credits from the previous subscription year will expire and will not roll over.

Credit Expiration Notification

Agora will notify customers when left three (3) and one (1) months for the expiration.

Run Out of Credit

If a customer runs out of credits, the Agora deployment(s) will stop running. The customer will receive a number of notifications as their credit balance gets low: at 50%, 25% and 10% of the total credits remaining for the contract term.

Customers can continue using Agora as long as they purchase additional credits (see Top Up Credits Purchases section below) or provide an alternative payment method for such excess credit consumption (in this case, the excess credits consumed will be treated as PAYGO credits).

Top Up Credit Purchases

Customers can purchase additional credits during their subscription year (Top Up Credits). In this case, the price per credit will be the same as their original subscription price.

Customers can not aggregate credit purchases to get a higher discount during the subscription year. Customers are encouraged to pre-purchase as many credits as needed at the start of the subscription year to get the greatest discount per credit.

Note: Top up credits purchased during a subscription year will expire at the end of the current subscription. They can, of course, be rolled over into the next subscription year if the customer renews their subscription at the same or higher level of commitment.

Subscription Renewal

When a prepaid subscription expires, the customer can renew their subscription or allow it to lapse. If the customer does nothing, the Agora servers will shut down.

If the customer renews their subscription at the same pre-purchased credit level or higher than their current subscription, then any unused credits will be rolled over into the new subscription.

If a customer has purchased top-up credits during the term of a subscription, then the subscription renewal level will be the sum of the original subscription credit amount plus sum of all top-up credit amount during the subscription term.

Note: Service credits granted to the customer due to SLA claims are not considered for the subscription renewal level. If the customer elects to shrink their commitment, then any unused credits will expire.

Right to Audit the Usage of Agora Subscriptions

Denodo reserves the right to audit the actual usage of Agora by the Customer. In the event the actual sustained usage exceeds the agreed platform size, Denodo shall have the right to adjust the platform fee accordingly and Customer shall be responsible for any additional fees associated with such excessive usage.

Payment Terms

PAYG Fee Schedule

All Pay-As-You-Go consumption will be billed in arrears as determined by Denodo or the Cloud Service Provider.

Prepaid Fee Schedule

Unless otherwise set forth in an Order, fees for pre-paid Denodo Credits, including the Platform Fee, will be invoiced in full upon execution of the applicable Order, and will be due and payable in full no later than 30 days after the date of Denodo’s invoice.
